Free webinar to explore shifting merger rules

Competition lawyers will examine the growing uncertainty surrounding minority stakes, serial acquisitions and below-threshold deals at a webinar hosted by LexisNexis and Mayer Brown later this month

The one-hour interactive session, entitled ‘Where’s the Line? Minority Stakes, Serial Acquisitions and the Shifting Boundaries of Merger Control’, will take place on 23 September. It will offer practical guidance to dealmakers navigating increasing regulatory scrutiny of transactions that may previously have fallen outside established merger-control thresholds.

The organisers said: ‘The boundaries of merger control are shifting, and the lines dealmakers once relied on are no longer clear.’ Below-threshold mergers, minority shareholdings, serial acquisitions and platform transactions were all attracting closer attention, creating greater uncertainty for those structuring and completing deals.

Mayer Brown partners Rebecca Bothamley, Christian Horstkotte, Nathalie Jalabert-Doury and Daniel Vowden will lead the discussion. Drawing on experience in London, Düsseldorf, Paris and Brussels, the speakers will consider the most pressing developments in UK and European merger control.

The panel will explore how businesses and their advisers can identify potential regulatory concerns at an early stage, plan transactions strategically and reduce the risk of unexpected intervention. According to the organisers, careful planning and foresight can help businesses manage the changing environment and ensure ‘deals can still get done’.

The webinar will conclude with an interactive question-and-answer session, giving attendees an opportunity to raise practical issues with the speakers. It is aimed at dealmakers and legal practitioners seeking to anticipate scrutiny, assess transaction risk and keep acquisitions on track.
