Edgeworth Capital (Luxembourg) S.A.R.L. and another v Ramblas Investments B.V. [2016] EWCA Civ 412, [2016] All ER (D) 196 (Apr)

The Court of Appeal, Civil Division, substantially dismissed the defendant’s appeal against the judge’s interpretation of an ‘upside fee agreement’ contract that had formed part of a financing arrangement that had enabled the defendant to purchase property in Spain. The defendant succeeded to the extent that the fee it was ordered to pay the claimants under the contract was reduced on appeal.
